Welcome to MHS Health & Beauty (“we,” “our,” “us,” or “Company”). These Terms and Conditions (“Terms”) govern your access to and use of our wholesale B2B portal and services. By creating an account, placing an order, or using our services, you agree to be bound by these Terms.

Please read these Terms carefully before using our services.

1. Acceptance of Terms

By accessing or using our wholesale portal, you acknowledge that you have read, understood, and agree to be bound by these Terms, as well as our Privacy Policy. If you do not agree to these Terms, you must not use our services.

We reserve the right to modify these Terms at any time. Changes will be effective immediately upon posting to our website. Your continued use of our services after changes are posted constitutes acceptance of the modified Terms.

2. Eligibility and Account Registration

Business Customers Only

Our wholesale portal is exclusively for registered businesses. To create an account, you must:

  • Be a legally registered business in Canada
  • Provide valid business registration documentation
  • Be at least 18 years of age
  • Have the authority to bind your business to these Terms
  • Provide accurate and complete business information

Account Approval

All wholesale accounts are subject to approval. We reserve the right to:

  • Approve or reject any application at our sole discretion
  • Request additional documentation for verification
  • Suspend or terminate accounts that violate these Terms
  • Modify account privileges or pricing tiers

Account Security

You are responsible for:

  • Maintaining the confidentiality of your account credentials
  • All activities that occur under your account
  • Notifying us immediately of any unauthorized access
  • Ensuring your account information remains accurate and current

3. Products and Services

Product Information

We strive to provide accurate product descriptions, images, and specifications. However:

  • Product images are for illustration purposes and may vary from actual products
  • We do not warrant that product descriptions are error-free or complete
  • We reserve the right to correct errors or update information at any time
  • Colors may vary due to monitor settings and photography

Product Availability

All products are subject to availability. We reserve the right to:

  • Limit quantities available for purchase
  • Discontinue products without notice
  • Refuse or cancel orders if products are unavailable
  • Substitute similar products with your consent

4. Pricing and Payment

Pricing

  • Currency: All prices are in Canadian Dollars (CAD)
  • Wholesale Pricing: Prices are based on your approved pricing tier
  • Taxes: Prices exclude applicable taxes (GST/HST/PST), which will be added at checkout
  • Price Changes: We reserve the right to change prices at any time without prior notice
  • Price Errors: We reserve the right to cancel orders placed at incorrect prices

Minimum Order Quantities (MOQ)

Certain products may have minimum order quantities or pack sizes. These requirements will be clearly displayed on product pages and must be met for order acceptance.

Payment Terms

  • Payment Methods: We accept credit cards, debit cards, and approved payment methods
  • Payment Due: Payment is due at the time of order unless credit terms have been approved
  • Credit Accounts: Net 30 payment terms may be available for approved accounts
  • Late Payments: Late payments may incur interest charges at a rate of 2% per month (26.8% annually)
  • Credit Limits: We may establish credit limits for your account

Payment Processing

By providing payment information, you represent and warrant that:

  • You have the legal right to use the payment method
  • The information you provide is accurate and complete
  • You authorize us to charge the payment method for all amounts due

5. Orders and Order Acceptance

Placing Orders

When you place an order, you are making an offer to purchase products. We reserve the right to accept or reject any order for any reason, including:

  • Product availability
  • Errors in pricing or product information
  • Credit or fraud concerns
  • Violation of these Terms

Order Confirmation

You will receive an order confirmation email once your order is placed. This confirmation does not constitute acceptance of your order. We will send a separate shipping confirmation when your order is dispatched.

Order Cancellation

  • By You: You may cancel orders before shipment by contacting us immediately
  • By Us: We may cancel orders due to product unavailability, pricing errors, or other valid reasons
  • Refunds: If we cancel your order, we will refund any payment received

6. Shipping and Delivery

Shipping Areas

We ship to all Canadian provinces and territories, with the exception of Yukon, Nunavut, and Northwest Territories. We do not currently ship internationally.

Shipping Costs

Shipping costs are calculated based on:

  • Order weight and dimensions
  • Delivery location
  • Shipping method selected
  • Current carrier rates

Shipping costs will be displayed at checkout before you complete your order.

Delivery Times

Estimated delivery times are provided as guidance only and are not guaranteed. Typical delivery times are:

  • Ontario & Quebec: 3-5 business days
  • Other Provinces: 5-7 business days
  • Remote Areas: 7-10 business days

Delivery times begin after order processing and do not include weekends or holidays.

Risk of Loss

Risk of loss and title for products pass to you upon delivery to the carrier. We are not responsible for delays or damages caused by the shipping carrier.

7. Returns and Refunds

Return Policy

We accept returns within 30 days of delivery under the following conditions:

  • Products must be unused and in original packaging
  • Products must be in resalable condition
  • Return authorization must be obtained before shipping
  • Original invoice or proof of purchase must be included

Non-Returnable Items

The following items cannot be returned:

  • Opened or used health and beauty products
  • Custom or special-order items
  • Clearance or final sale items
  • Products damaged due to misuse or negligence

Return Process

To initiate a return:

  1. Contact us at returns@mhshealthandbeauty.shop within 30 days of delivery
  2. Provide your order number and reason for return
  3. Receive a Return Authorization (RA) number
  4. Ship the product back with the RA number clearly marked

Refunds

  • Processing Time: Refunds are processed within 7-10 business days of receiving the return
  • Refund Method: Refunds are issued to the original payment method
  • Shipping Costs: Original shipping costs are non-refundable unless the return is due to our error
  • Return Shipping: You are responsible for return shipping costs unless the return is due to our error or a defective product
  • Restocking Fee: A 15% restocking fee may apply to returns not due to our error

Damaged or Defective Products

If you receive damaged or defective products:

  • Contact us within 48 hours of delivery
  • Provide photos of the damage or defect
  • We will arrange for replacement or full refund at no cost to you

8. Intellectual Property

All content on our website, including text, graphics, logos, images, and software, is the property of MHS Health & Beauty or its licensors and is protected by Canadian and international copyright, trademark, and other intellectual property laws.

Limited License

We grant you a limited, non-exclusive, non-transferable license to access and use our website for business purposes related to purchasing our products. You may not:

  • Reproduce, distribute, or display our content without permission
  • Use our trademarks or branding without authorization
  • Modify or create derivative works from our content
  • Use automated systems to access or scrape our website

Resale Restrictions

As a wholesale customer, you agree to:

  • Resell products only through authorized channels
  • Maintain product quality and brand reputation
  • Not advertise products below minimum advertised price (MAP) if applicable
  • Comply with all applicable laws regarding product resale

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

  • MHS Health & Beauty shall not be liable for any indirect, incidental, special, consequential, or punitive damages
  • Our total liability shall not exceed the amount you paid for the specific product or service giving rise to the claim
  • We are not liable for delays or failures due to circumstances beyond our reasonable control (force majeure)
  • We do not warrant that our website will be uninterrupted, secure, or error-free

10. Warranties and Disclaimers

Product Warranties

Products are sold with manufacturer warranties where applicable. We make no additional warranties beyond those provided by manufacturers.

Disclaimer of Warranties

EXCEPT AS EXPRESSLY PROVIDED, OUR SERVICES AND PRODUCTS ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

11. Indemnification

You agree to indemnify, defend, and hold harmless MHS Health & Beauty, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from:

  • Your violation of these Terms
  • Your use of our products or services
  • Your violation of any third-party rights
  • Your resale or distribution of our products

12. Governing Law and Dispute Resolution

Governing Law

These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles.

Dispute Resolution

In the event of any dispute arising from these Terms:

  1. Negotiation: The parties will first attempt to resolve the dispute through good faith negotiation
  2. Mediation: If negotiation fails, the parties agree to attempt mediation before pursuing litigation
  3. Jurisdiction: Any legal action must be brought in the courts of Ontario, and you consent to the exclusive jurisdiction of such courts

13. Termination

We may suspend or terminate your account and access to our services at any time, with or without notice, for any reason, including:

  • Violation of these Terms
  • Fraudulent or illegal activity
  • Non-payment of amounts due
  • Abuse of our services or staff

Upon termination:

  • Your right to use our services immediately ceases
  • You remain liable for all outstanding amounts
  • Provisions that by their nature should survive termination will continue to apply

14. General Provisions

Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and MHS Health & Beauty regarding our services.

Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will continue in full force and effect.

Waiver

Our failure to enforce any right or provision of these Terms does not constitute a waiver of such right or provision.

Assignment

You may not assign or transfer these Terms without our written consent. We may assign our rights and obligations without restriction.

Force Majeure

We are not liable for delays or failures in performance resulting from circumstances beyond our reasonable control, including natural disasters, war, terrorism, labor disputes, or government actions.
